Corporate Structure

The Biocon Group's corporate structure comprises of Biocon Limited (the Holding Company) and its six subsidiaries, Syngene International Limited, Bangalore; Clinigene International Limited, Bangalore, Biocon Biopharmaceuticals Private Limited, Bangalore, Biocon Research Limited, Bangalore, Biocon SA, Switzerland and Biocon SDN.BHD, Malaysia. The Biocon Group also has one joint venture company - NeoBiocon FZ LLC, Abu Dhabi.

Syngene International Limited

Syngene International Limited is a Bangalore based Custom Research Company that was established as a 99.99% owned subsidiary of Biocon Limited. The company was incorporated on November 18, 1993. The paid-up capital of Syngene International Limited as on March 31st, 2010 is Rs. 28,750,000.

Clinigene International Limited

Clinigene International Limited is a Bangalore based Clinical Research Company that was established as a 100% owned subsidiary of Biocon Limited. The company was incorporated on August 4, 2000. The paid-up capital of Clinigene International Limited as on March 31st, 2010 is Rs. 500,000.

Biocon Biopharmaceuticals Private Limited (BBPL)

BBPL was set up in 2002 as a Joint Venture company of Biocon Limited in collaboration with CIMAB SA, Cuba. Biocon’s equity participation in this joint venture was 51%. In March 2010, Biocon Limited acquired CIMAB’s 49% stake via its subsidiary Biocon SA. BBPL is now a wholly-owned subsidiary of Biocon Limited. The paid-up capital of BBPL as on March 31st 2010 is Rs. 176,000,000.

Biocon Research Limited (BRL)

Biocon Research Limited was established in 2008 as a 100% owned subsidiary of Biocon Limited. The paid-up capital of BRL as on 31st March 2010 is Rs. 5,00,000.

NeoBiocon FZ LLC

NeoBiocon FZ LLC. is a research and marketing pharmaceutical company based in Abu Dhabi. Incorporated in January 2008, NeoBiocon is a 50:50 joint venture with Dr. B.R.Shetty, Managing Director of NeoPharma, Abu Dhabi. The paid up capital of NeoBiocon as on March 31st, 2010 is AED 300,000.

Biocon SA

Biocon SA. is a wholly owned subsidiary in Switzerland primarily engaged in the development and commercialization of biopharmaceuticals across the globe. Clinical Development of Insulin is currently ongoing in the European region.

Biocon SDN. BHD

Biocon SDN. BHD. is a wholly owned subsidiary in Malaysia to set up a state of the art manufacturing facility at BioXcell a biotechnology park promoted by the Government of Malaysia. In the first phase of capital outlay, the Company envisages an investment of US$ 161 million and expects the facility to go on stream by year 2015.
